EGM of Merchant Sinfonia to be held in Studio 1 at City Halls on 18 February at 19:00hrs

Explanatory text:

Since drawing up the initial Constitution Merchant Sinfonia last Summer, the Orchestra has sought membership of Making Music, an organisation dedicated to helping and supporting voluntary music across the UK. Amongst many aspects of advice and help they can offer, Making Music also arranges insurance for orchestras such as ourselves. However, to benefit from full membership, Making Music requires specific wording to be written in to the constitution of its members, so as to make explicit the prohibition on members of, in our case, Merchant Sinfonia benefiting financially from its income or property save in reimbursement of legitimate expenses incurred on behalf of the orchestra. Such limitations were, we believe, implicit within the wording previously agreed, but we have been asked to add an explicit clause, which is set out below for approval by the members.

Notice is hereby given that an Extraordinary General Meeting of the members of Merchant Sinfonia will held at 7pm on Tuesday 18 February 2014 in Studio 1, City Halls, Glasgow (entrance via Albion Street) to conduct the following business:

(1) To consider and, if thought fit, approve the addition of the following wording as clause 9.5 of the Constitution of Merchant Sinfonia

“The income and property of the Merchant Sinfonia whencesoever derived shall be applied solely towards promoting the objects of Merchant Sinfonia as set forth above and no portion thereof shall be paid or transferred either directly or indirectly to any member or members of Merchant Sinfonia except in payment of legitimate expenses incurred on behalf of Merchant Sinfonia.”

(2) To discuss any other business with the permission of the Chair.
